Sizl Pay App, Inc. Terms and Conditions; Section [#]. Payment Methods

Member authorizes single and/or recurring payments to be made (a) through the use of the ACH network, and (b) through the use of a paper draft.

(a) ACH Authorization: If your payments are made by ACH/electronic debit you agree to the following: Recurring payments
will be made automatically on or after the completion of the initial period relating to your first payment. The authority
you give Sizl Pay App, Inc. to charge your account with an ACH debit will remain in effect until you notify us as required in
the CANCELLATIONS section of the Terms and Conditions. If the amount of your payment changes, we will notify you at
east 10 days before payment date using the e-mail address we have on file. Should your payment be returned for
non-sufficient funds (NSF), we reserve the right to re-deposit the payment up to 2 times in accordance with banking rules
and regulations. Returned items such as NSF (insufficient funds), bank account closed, invalid account number, etc. are
subject up to a $25 dollar handling fee, payable to Company which may (i) be electronically debited through the ACH
network for collection, (ii) processed through the banking system as a paper draft or (iii) passed on to a collection agency.

(b) Paper Draft: If your payments are made by paper draft you agree to the following: Recurring payments will be made
automatically on or after the completion of the initial period relating to your first payment. You authorize WTS to print
paper drafts in your name made payable to WTS. This authority will remain in effect until you notify us as required in the
CANCELLATIONS section of the Terms and Conditions. Should your paper draft be returned for non-sufficient funds (NSF),
we reserve the right to re-deposit the payment up to 2 times in accordance with banking rules and regulations.
Drafts returned for NSF (insufficient funds), account closed, invalid account number, or any other return reason are subject
up to a $25 dollar handling fee, payable to WTS which may (i) be electronically debited through the ACH network for collection,
(ii) processed through the banking system as a paper draft or (iii) passed on to a collection agency.

The Member’s subscription will automatically renew for an additional subscription period upon expiration of the then
current subscription unless otherwise mutually agreed to in advance. This includes any trial memberships that automatically
renew to a regular monthly membership unless stated otherwise. The Member’s failure to pay all amounts owed to Company
may result in the following: (i) imposition of all additional service charges and/or damages allowed under applicable law,
(ii) assignment of the Member’s account to a third party collection agency to pursue collection of all amounts owed, and (iii)
pursuit by the Company of any and all additional damages allowed under this Membership Agreement and at law or in equity.
Notwithstanding anything else contained herein and in addition to all other remedies available to Company hereunder, at law
or in equity, Customer shall be liable to Company for: (i) all costs associated with collecting the amounts due to Company,
including attorneys’ fees, and (ii) interest on amounts due to Company which shall accrue at the lower of the rate of 10% or
the maximum rate allowed by law from the date such amounts are originally due, or in the case of a dishonored or returned
electronic debit, from the date of dishonor or return.

Full release of any liability for collecting or processing issues caused by third party service providers, technical issues or acts of God.

1) You agree not to use the Services in any way that is unlawful, or harms Sizl Pay App, Inc. its service providers, suppliers or any other user. You agree not to use the Referral Services in any way that breaches the Good Neighbor Policy, the Ethics Quality Policy, the Sizl Pay App, Inc. Terms of Use, Sizl or any other policy or notice on the Services. You agree not to distribute or post spam, chain letters, pyramid schemes, or similar communications through the Services. You agree not to impersonate another person or misrepresent your affiliation with another person or entity. Except as expressly stated herein, these Terms of Use do not provide you a license to use, reproduce, distribute, display or provide access to any portion of the Services on third-party Web sites or otherwise except as expressly stated.

2) By executing this Discount & Support Application on behalf of the merchant described above (the “Merchant”), the undersigned individual(s): (i) represent(s) and warrant(s) that all information contained in this Discount & Support Application is true, correct and complete as of the date of this Discount & Support Application, and that such individual(s) have the requisite corporate power and authority to complete and submit this Discount & Support Application and make and provide the acknowledgements, authorizations and agreements set forth below, both on behalf the Merchant and individually; (ii) acknowledge(s) that the information contained in this Discount & Support Application is provided for the purpose of obtaining, or maintaining an account with Sizl Pay App, Inc. on behalf of the Merchant; (iii) authorize Sizl to research the Merchant and each person listed on this Discount & Support Application; (iv) agree, on behalf of Merchant and in the event this Discount & Support Application is accepted and executed by Sizl Pay App, Inc., to the Fee Schedule set forth above and to the Terms and Conditions included within incorporated into this Discount & Support Agreement. Merchant agrees to make Sizl the exclusive referral network for their business for a term of 36 months and will automatically renew annually thereafter until cancelled in writing. This Discount & Support Agreement will Renew after 36 Months Automatically for an additional 36 Months if Merchant does not Cancel in Writing 30 Days before the Term of this Agreement Expires. Sizl only acts as a Referral Source Provider to our Network of Service Providers. The Monthly Discount & Support Account Merchant must give 30-Day’s Notice at the end of the Term or Agreement will Automatically Renew for 1 Year. Sizl reserves the right to bill for phone service calls and for In-Person Service Calls—can range from $39 – $285+. That require updates, changes, downloads, terminal issues, bank issues of any kind. In the event any fees or chargeback occur from any Bank or Service Providers Sizl Reserves the right to recover those losses through an Account Payback Recovery Program to Sizl Pay / CDM / Payments League or it’s Affiliates. No Cancellation Fees. The Processing Bank might charge additional fees related to processing. 1x setup fee of $69.95. Sizl / CDM can initiate a 5-8% Consulting Fee for Successful Business Funding to Merchant. Waiver or release of all or any liability for any services or damages as a result of merchant processing services interrupted or not working for client or third party service providers. Sizl Merchant Advocacy Program will assist merchants with Statement Review and Resolution Assistance with service providers. If Merchant client does not use support or service calls on their plan, no credits or rollovers will be issued.
